A2: 外资准入特别管理措施（负面清单）是指对外国投资者在自贸试验区内投资项目和设立外商投资企业采取的与国民待遇等不符的措施。 The Special Administrative Measures onForeign Investment Permission (Negative List) refer to measures inconsistencewith the national treatment adopted in the project investment and theestablishment of foreign invested enterprises undertaken by foreign investorsin the Pilot FTZ.
• Q3: 自贸试验区实行备案管理的范围是什么？What is the scope of the filing administrationpracticed in the Pilot FTZ? A3: 借鉴国际通行规则，对外商投资试行准入前国民待遇，对负面清单以外的领域，按照内外资一致的原则，将外商投资项目由核准制改为备案制（国务院规定对国内投资项目保留核准的除外）；将外商投资企业合同章程审批改为备案管理。同时在自贸试验区改革境外投资管理方式，对境外投资开办企业实行以备案制为主的管理方式，对境外投资一般项目实行备案制，提高境外投资便利化程度。
• The trial pre-establishment nationaltreatment on foreign investment is implemented based on international norms. Forthe projects that are not stated in the Negative List, foreign investors anddomestic investors receive the same treatment, by going through filingprocedures instead of approving requirements (with the exception ofareas specifically defined by the State Council). Approvingrequirements on foreign investment contracts and Articles of Association arereplaced by filing procedures with Shanghai Municipal People's Government. Inaddition, the Pilot FTZ reforms the overseas investment administration byprincipally implementing the filing system on the setup of overseas companiesand on the general overseas investment projects to facilitate the convenienceon overseas investments.

A5: 除总体方案中规定必须在自贸试验区内经营、提供服务的领域外，自贸试验区内的企业可以根据相关法律法规到区外再投资或开展业务。 A: Enterprises in the Pilot FTZ areallowed to conduct re-investment or business outside of the Zone, except forthe business or the service which must be operated or provided within the PilotFTZ according to the Framework Plan.
